These Terms of Service ("Terms") constitute a legally binding agreement between you and CleanOps Inc. ("Company," "we," "our," or "us") regarding your use of our cleaning management platform and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Service.

CleanOps provides a comprehensive platform for managing cleaning operations, including but not limited to:

• Property and cleaner management
• Job scheduling and coordination
• Communication and messaging tools
• Analytics and reporting features
• Mobile applications for cleaners
• Third-party integrations

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit harmful or malicious code
• Attempt to gain unauthorized access to the Service
• Interfere with the proper functioning of the Service

Certain features of the Service require payment. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your subscription
• Provide accurate billing information
• Authorize us to charge your payment method
• Notify us of any changes to your payment information

Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as specified in our refund policy.

The Service and its original content, features, and functionality are owned by CleanOps Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide license to use, modify, and display such content in connection with the Service.

You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that you have all necessary rights to submit User Content and that it does not violate any third-party rights.

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service.

We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall CleanOps Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability to you for any damages arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless CleanOps Inc. and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

These Terms shall be interpreted and governed by the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the courts of San Francisco County, California.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
