1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the TidyCheck website and services. Please read these Terms carefully. By accessing or using TidyCheck, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use TidyCheck.

2. Description of Services

TidyCheck provides a platform for Airbnb hosts and property managers to manage cleaning operations, including scheduling cleanings, communicating with cleaners, and ensuring quality control through checklists and verification systems.

3. Account Registration and Security

To use certain features of TidyCheck, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Subscription and Payment Terms

TidyCheck offers subscription-based services. By subscribing to TidyCheck, you agree to pay all fees associated with your subscription plan. Fees are non-refundable except as required by law or as specifically set forth in these Terms.

Subscriptions automatically renew unless canceled by you at least 24 hours before the end of the current billing period. You can cancel your subscription at any time through your account settings or by contacting customer support.

We reserve the right to change our fees or billing methods at any time. We will provide notice of any change in fees at least 30 days before the change takes effect.

5. User Content

You retain ownership of any content you submit, post, display, or otherwise make available on or through TidyCheck ("User Content"). By submitting User Content, you grant TidyCheck a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and improving our services.

You represent and warrant that: (i) you own the User Content or have the right to use and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

6. Prohibited Conduct

You agree not to:

• Use TidyCheck for any illegal purpose or in violation of any local, state, national, or international law
• Violate or encourage others to violate the rights of third parties, including intellectual property rights
• Post, upload, or distribute any content that is defamatory, libelous, inaccurate, unlawful, or otherwise objectionable
• Interfere with the operation of TidyCheck, including by using any type of spider, virus, or other means
• Attempt to gain unauthorized access to TidyCheck's systems or other users' accounts
• Impersonate or misrepresent your affiliation with any person or entity
• Use TidyCheck in any manner that could disable, overburden, damage, or impair the site

7. Intellectual Property Rights

TidyCheck and its original content, features, and functionality are owned by TidyCheck and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to these Terms, TidyCheck grants you a limited, non-exclusive, non-transferable, and revocable license to access and use TidyCheck for your personal or business purposes.

8. Disclaimers and Limitations of Liability

TidyCheck is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the operation of TidyCheck or the information, content, or materials included on TidyCheck.

To the fullest extent permitted by law, TidyCheck disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall TidyCheck be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use TidyCheck; (ii) any conduct or content of any third party on TidyCheck; (iii) any content obtained from TidyCheck; and (iv) unauthorized access, use, or alteration of your transmissions or content.

9. Indemnification

You agree to defend, indemnify, and hold harmless TidyCheck, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of TidyCheck.

10. Termination

We may terminate or suspend your account and bar access to TidyCheck immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use TidyCheck will immediately cease. If you wish to terminate your account, you may simply discontinue using TidyCheck or contact us to delete your account.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of TidyCheck after any such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of TidyCheck shall be resolved through binding arbitration in San Francisco, California, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
